Terms of Service

Article 1 (Purpose)

These Terms of Service ("Terms") govern your access to and use of the electronic signature services and related services ("Service") provided by SignPik ("Company"). By using our Service, you agree to be bound by these Terms.

Article 2 (Definitions)

The following definitions apply in these Terms:

  • "Service" means the electronic signature, document management, signature request, notification, audit log, and other related services provided by the Company.
  • "User" means any member or non-member who uses the Service in accordance with these Terms.
  • "Member" means a person who has registered as a member by providing personal information to the Company and can use the Service continuously.
  • "Non-member" means a person who uses the Service without registering as a member (e.g., recipients of signature requests).
  • "Electronic Signature" means information in electronic form attached to or logically associated with an electronic document to identify the signer and indicate that the signer has signed the document.
  • "Document" means PDF files and related data uploaded or created by Users on the Service.
  • "Subscription" means the regular payment made by a User to use paid features of the Service for a specified period.

Article 3 (Effect and Amendment of Terms)

  • These Terms become effective when posted on the Service screen or otherwise notified to Users.
  • The Company may amend these Terms within the scope not violating applicable laws.
  • When amending the Terms, the Company will specify the effective date and reasons for amendment and post them on the Service home screen from 7 days before the effective date. However, for changes unfavorable to Users, the Company will provide at least 30 days advance notice.
  • If a User does not agree to the amended Terms, the User may terminate the service agreement. However, if the User continues to use the Service after the effective date of the amended Terms, the User is deemed to have agreed to the changes.

Article 4 (Supplementary Rules)

Matters not specified in these Terms and interpretation of these Terms shall be governed by relevant laws including the Electronic Signature Act, Electronic Commerce Act, and general commercial practices.

Article 5 (Provision of Services)

The Company provides the following services:

  • Electronic Signature Service: Adding and managing electronic signatures on PDF documents
  • Document Management Service: Document upload, storage, viewing, and download
  • Signature Request Service: Requesting signatures from others via email
  • Notification Service: Sending notifications for signature requests, completions, reminders, etc.
  • Audit Log Service: Recording and certifying document and signature activities
  • Template Service: Creating and managing reusable document templates
  • Team Management Service: Organization and team member management, permission settings
  • API Integration Service: Providing APIs for integration with external systems
  • Other services determined by the Company

Article 6 (Service Hours)

  • In principle, the Service is provided 24 hours a day, 365 days a year, unless there are special business or technical circumstances.
  • The Company may temporarily suspend the Service for regular system maintenance, expansion, or replacement, and will provide advance notice through service announcements.
  • The Company may temporarily suspend the Service without prior notice in case of urgent system issues, facility failures, sudden increase in usage, national emergencies, power outages, or other unavoidable circumstances.
  • The Company may conduct regular maintenance, and maintenance times will be announced on the Service.

Article 7 (Membership Registration)

  • Users apply for membership by filling out the registration form and agreeing to these Terms.
  • The Company registers applicants as members unless they fall under the rejection grounds.
  • Membership registration is conducted through social login using a Google account.
  • The membership agreement becomes effective when the Company's acceptance reaches the member.

Grounds for Rejection

  • If the applicant has previously lost membership under these Terms
  • If registration information contains false, omitted, or erroneous content
  • If under 14 years of age (or 16 in the EU) without guardian consent
  • If registration would cause significant technical issues for the Company

Article 8 (Changes to Member Information)

  • Members can view and modify their personal information at any time through the personal information management screen.
  • If the information provided during registration changes, members must update it online or notify the Company via email or other methods.
  • The Company is not responsible for any disadvantages arising from failure to notify changes.

Article 9 (Member Withdrawal and Disqualification)

  • Members may request withdrawal at any time, and the Company will process the withdrawal immediately.
  • If a member falls under any of the following grounds, the Company may restrict or suspend membership.
  • If membership is disqualified, re-registration may be restricted.

Grounds for Restriction/Suspension

  • Registering false information during application
  • Using the Service to engage in activities that violate laws or public morals
  • Interfering with others' use of the Service or misappropriating their information
  • Infringing on the rights of the Company or other Users through the Service
  • Deliberately interfering with the Company's service operations
  • Violating applicable laws or terms set by the Company

Article 10 (User Obligations)

Users shall not engage in the following activities:

  • Registering false information during application or modification
  • Misappropriating another person's information
  • Unauthorized modification of information posted by the Company
  • Transmitting or posting information (such as computer programs) other than that designated by the Company
  • Infringing on intellectual property rights of the Company or third parties
  • Damaging the reputation of the Company or third parties or interfering with their business
  • Posting obscene or violent messages, images, voices, or other information contrary to public morals
  • Using the Service to request signatures on illegal documents or engage in fraud, forgery, or other criminal activities
  • Using the Service for commercial purposes without the Company's consent
  • Using automated means (bots, scripts, etc.) to access the Service or collect data
  • Interfering with the stable operation of the Service
  • Other illegal or improper activities

Article 11 (Legal Effect of Electronic Signatures)

  • Electronic signatures created through this Service are electronic signatures as defined by applicable electronic signature laws and have legal effect when there is agreement between the parties.
  • Electronic signatures through this Service are Simple Electronic Signatures (SES) and may not meet requirements where qualified electronic signatures or digital certificates are explicitly required by law.
  • The Company records IP address, timestamp, signer information, and other data at the time of signing to verify authenticity, which can be confirmed through audit logs and certificates.
  • The final determination of the legal effect of documents containing electronic signatures is subject to the judgment of the competent court.
  • Users are responsible for determining the suitability of electronic signatures and should consult with legal professionals if specific legal requirements exist.

Article 12 (Paid Services and Payment)

  • The Company provides both free and paid services. The scope and conditions of each service can be found on the pricing page.
  • Fees and payment methods for paid services are as specified in the applicable service.
  • Users can pay for paid services through payment methods provided by the Company (credit card, etc.).
  • Paid service fees are automatically charged monthly (monthly subscription) or annually (annual subscription) based on the subscription start date.
  • The Company may change the fees for paid services and will notify users at least 30 days in advance. Changed fees will apply from the next billing cycle.

Pricing Plans

  • Free: 5 documents/month, 3 recipients/document, max 7MB file
  • Pro: 100 documents/month, 10 recipients/document, max 25MB file, templates
  • Team: 500 documents/month, unlimited recipients, max 50MB file, team management
  • Enterprise: Unlimited documents, custom features, dedicated support

Article 13 (Refund Policy)

  • If you have not used the paid service after payment, you may request a full refund within 7 days from the payment date.
  • If you have used the service (document upload, signature request, etc.), the amount for used days will be deducted before refund.
  • For annual subscriptions, a full refund is only available if within 14 days of payment and less than 20% of monthly usage has been consumed.
  • You may cancel at any time during the free trial period. If not cancelled, payment will automatically proceed after the trial period ends.
  • Refund requests can be made through customer service or the settings menu. Refunds are processed within 5-10 business days from the request date.
  • Refunds may be restricted in the following cases:

Refund Restrictions

  • When service use is restricted due to User's fault
  • When membership is suspended due to Terms violation
  • When a significant portion of the service has already been used
  • When payment was made through promotions or special discounts (separate conditions apply)

Article 14 (Subscription Cancellation and Termination)

  • Users may cancel their subscription at any time and continue to use the Service until the end of the current billing period.
  • Subscription cancellation can be processed directly through the settings menu or by contacting customer service.
  • When a subscription is cancelled, automatic payments will stop from the next billing date.
  • Upon subscription termination, User data (documents, signatures, etc.) will be retained for the period required by applicable laws and then deleted.
  • If subscribed at a promotional price, regular pricing may apply upon re-subscription after cancellation.

Article 15 (Intellectual Property Rights)

  • Intellectual property rights in software, designs, logos, trademarks, and content included in the Service belong to the Company.
  • Rights to documents and content uploaded by Users to the Service belong to the Users.
  • Users grant the Company a non-exclusive license to use, copy, store, and transmit User content to the extent necessary to provide the Service.
  • Users shall not reproduce, transmit, publish, distribute, broadcast, or otherwise use for commercial purposes or allow third parties to use information obtained through the Service without the Company's prior consent.
  • The Company may use content uploaded by Users in anonymized form for service improvement, marketing, and other purposes (e.g., statistical data).

Article 16 (Modification and Discontinuation of Service)

  • The Company may modify the Service as necessary for operational or technical reasons.
  • When modifying the Service, the Company will specify the changes and effective date and post them on the Service 30 days in advance. However, in urgent cases, the Company will notify without delay after the change.
  • The Company may modify, suspend, or change all or part of the free services as necessary for its policies and operations, and will not provide separate compensation unless specifically required by applicable laws.
  • If the Company completely terminates the Service, it will provide at least 90 days advance notice and a period for Users to back up their data.

Article 17 (Disclaimer)

  • The Company is exempt from liability when it cannot provide the Service due to force majeure such as natural disasters, war, terrorism, riots, or government actions.
  • The Company is not responsible for service interruptions caused by User's fault.
  • The Company is not responsible for Users' failure to obtain expected benefits or damages from materials obtained through the Service.
  • The Company has no obligation to intervene in disputes between Users or between Users and third parties arising through the Service, and has no liability for resulting damages.
  • The Company is not responsible for damages related to the use of free services.
  • The Company is not responsible for service interruptions due to matters not specified in these Terms, unless the Company is grossly negligent.

Article 18 (Limitation of Liability)

  • If the Company is liable for damages to a User, the compensation amount is limited to the service fees paid by that User in the most recent 12 months.
  • The Company is not liable for indirect, special, consequential, or punitive damages.
  • The above liability limitations apply to the maximum extent permitted by applicable laws.

Article 19 (Disclaimer of Warranties)

  • The Service is provided "as is," and the Company makes no express or implied warranties regarding the completeness, accuracy, reliability, suitability, or availability of the Service.
  • The Company does not warrant that the Service will be uninterrupted, error-free, or perfectly secure.
  • The Company is not responsible for deletion, loss, or storage failure of data transmitted through the Service.
  • Users are responsible for separately backing up important data when using the Service.

Article 20 (Indemnification)

Users shall indemnify and hold the Company harmless from any damages arising from the following:

  • User's violation of these Terms
  • Claims by third parties related to User's use of the Service
  • User's illegal activities or negligence
  • Intellectual property infringement caused by content uploaded by Users
  • Inaccuracy of information provided by Users

Article 21 (Dispute Resolution)

  • Lawsuits regarding disputes between the Company and Users shall be filed in the court having jurisdiction over the User's address at the time of filing, or if the User has no address, the court having jurisdiction over the User's residence. However, if the User's address or residence is unclear or the User is a foreign resident, the lawsuit shall be filed in the court with jurisdiction under the Civil Procedure Act.
  • Korean law shall apply to disputes between the Company and Users.
  • In case of disputes, both parties shall negotiate in good faith to resolve the dispute.
  • If the dispute is not resolved through negotiation, either party may apply for mediation from relevant organizations such as the Korea Internet & Security Agency or the Korea Consumer Agency.

Article 22 (Severability)

If any provision of these Terms becomes invalid or unenforceable, the remaining provisions shall remain in effect, and the invalid provision shall be interpreted to have maximum effect within the scope permitted by applicable laws.

Article 23 (Entire Agreement)

These Terms constitute the complete agreement between the Company and Users regarding the use of the Service and supersede all prior oral or written agreements. However, the Privacy Policy applies in conjunction with these Terms.

Article 24 (No Waiver)

The Company's failure to enforce any provision of these Terms or take action against a User's violation shall not be construed as a waiver of that provision or rights regarding future violations.

Article 25 (No Assignment)

Users may not assign their rights and obligations under these Terms to third parties without the Company's prior written consent. The Company may assign its rights and obligations under these Terms to affiliates or business successors.
